E00628 – Associate General Counsel

Full-time Position



Position Overview: Reporting to the General Counsel, provides practical and wide-ranging advice on legal issues affecting the company. Responsibilities will include developing policies and procedures to ensure compliance with all laws and regulations that apply to the company, developing legal strategy for claims and litigation, drafting, reviewing, and negotiating various commercial contracts, , drafting and delivering legal training to the business and staying up to date with changes in healthcare law and other areas that affect the company’s operations.


Specific Responsibilities:

  • Participates in shaping the short and long-term strategies to meet business goals/objectives for customers/patients.
  • Works closely with all corporate departments to ensure the development and maintenance of legally compliant processes, operations, written materials, and policies.
  • Supports Human Resources and outside counsel with respect to employment matters, including internal investigations, pre-claim resolution of employment disputes, and management of employment litigation.
  • Reviews marketing materials including alumni and family communications for legal compliance and risk mitigation.
  • Participates in negotiations with outside contractors, organizations and the like as requested. Drafts standard contract forms as needed. Reviews contracts for legal implications and makes or recommends changes as appropriate.
  • Supports corporate governance and entity management.
  • Collaborates with outside counsel on litigation and complex issues of regulatory compliance.
  • Anticipates, interprets, and evaluates changes in health care. Maintains knowledge of current trends and developments in the legal field in order to enhance professional expertise. Attends workshops, conferences and educational events.
  • Provides educational materials and programs pertaining to legal issues;
  • Career level position within the field; considered highly skilled and proficient in discipline.


Education and Experience:

  • JD degree from an ABA approved law school and be an active member in good standing of the Bar in the state in which the position resides.
  • 3-5+ years’ experience practicing law with a strength in transactional work, regulatory, due diligence, and contracting. Must have knowledge of general federal and state regulatory schemes and, preferably, would have experience with employment issues, state and federal healthcare laws, managed care plans, and HIPAA/HITECH Act.
  • Knowledge of regulatory and compliance issues.
  • Analytical Ability: Proven ability to think logically based on a set of rules and analyze situations using common sense.



Knowledge: In depth knowledge of the key concepts, theories, doctrines, laws, policies, systems and institutions in the health law field.

Work Environment: Works in a professional office, clinic, hospital, or out-patient facilities.


Physical Demands: While performing the duties of this position, the employee is regularly required to talk or hear. The employee frequently is required to use hands to finger, handle or feel objects, tools or controls. The employee is occasionally required to stand; walk; sit; reach with hands and arms; climb or balance; and stoop, kneel, crouch or crawl. The employee must occasionally lift and/or move objects up to 25 pounds. Specific vision abilities required by this position include close vision, distance vision, color vision, peripheral vision and the ability to adjust focus.


Travel: Travel is primarily local during the business day, although some out-of-the-area and overnight travel may be expected
